Circular No. 213/7/2024-GST · 2024-06-26

Where a foreign holding company allots its own shares to employees of its Indian subsidiary under an ESOP, ESPP or RSU plan and the Indian subsidiary reimburses the cost on a cost-to-cost basis, CBIC clarified that the transaction is in securities and is not a supply of goods or services. No GST is therefore payable by the Indian company under reverse charge on that reimbursement. GST applies only if the foreign company charges an additional amount such as a markup or administration fee.

An assessment order for 2019-20 alleged wrongful availment of input tax credit, and the taxpayer's rectification petition, which annexed a detailed reconciliation between GSTR-2A and GSTR-3B, was simply left undecided by the department. The Madras High Court recorded that the reconciliation had been furnished and directed the officer to consider and dispose of the rectification petition dated 12 March 2024 by a speaking order, after affording a reasonable opportunity to the taxpayer, within one month.

Form REG-17 is issued when the officer proposes to cancel your registration, commonly for continuous non-filing of returns, non-existence at the declared premises or wrongful ITC availment. You must reply in Form REG-18 within seven working days and attend the hearing if one is fixed. If the reply satisfies the officer, proceedings are dropped in REG-20; otherwise cancellation is ordered in REG-19. If cancellation happens, you can seek revocation in Form REG-21 within ninety days after filing all pending returns and paying dues. Because cancelled registrations freeze e-way bills and invoicing, treat a REG-17 in Otteri as urgent.
Is everyone facing GST prosecution eligible to apply for compounding?

Such estimates are usually far higher than the actual dues. The assessment is deemed withdrawn if you file the valid return within sixty days of the order, on payment of late fee and interest. Before attending, reconstruct the facts, reconcile your returns and carry organised records of the transactions under inquiry.
