CBIC clarified that the holding of shares by a holding company in its subsidiary is a transaction in securities, and securities are excluded from the definition of both goods and services. The Maharashtra AAR held that liquidated damages recovered by MAHAGENCO from contractors for delayed completion of works are consideration for tolerating an act under Schedule II entry 5(e) of the CGST Act, classifiable under heading 9997 and taxable at 18 per cent. The AAAR upheld this view. The ruling drove years of demands on contract penalties, until CBIC Circular No. 178/10/2022-GST dated 3 August 2022 substantially narrowed the taxability of such recoveries by clarifying that genuine compensation for breach is not payment for tolerating an act.
